Terms & Conditions

1. Scope

  1. These Terms & Conditions apply to all contracts between Renderkitchen, Stefanie Drawehn, Pauline-Staegemann-Straße 6, 10249 Berlin, Germany (“Renderkitchen”), and its clients concerning architectural visualizations, animations, digital staging, 360° tours and related visualization services.
  2.  These Terms & Conditions apply exclusively to entrepreneurs, legal entities under public law and special funds under public law. They do not apply to consumers.
  3. Individual agreements made with the client take precedence over these Terms & Conditions.
  4. Deviating terms and conditions of the client shall only apply if expressly accepted by Renderkitchen.

2. Quotations and Contract Formation

  1. Quotations issued by Renderkitchen are non-binding unless expressly stated otherwise.
  2. A contract is concluded when the client accepts a quotation in text form or when Renderkitchen begins work following the client’s instruction.
  3. Quotations are based on the documents, information and scope available at the time of preparation. If these subsequently change or prove incomplete, any resulting additional work may be charged separately.
  4. Unless otherwise stated in the quotation, quotations remain valid for two months from the date of issue.

3. Scope of Services and Client Cooperation

  1. The scope of services is determined by the respective quotation and any subsequent written agreements.
  2. The client shall provide all documents, plans, models, photographs, specifications, approvals and other information required for the project completely, correctly and in due time.
  3. The client is responsible for checking the documents supplied to Renderkitchen for completeness and accuracy.
  4. Project schedules and delivery dates are based on the assumption that required information, feedback and approvals are provided by the client within the agreed time.
  5. Delays caused by missing or late client input may result in corresponding postponement of delivery dates.
  6. Where client cooperation is necessary and is delayed, Renderkitchen reserves its statutory rights to reasonable compensation and schedule adjustment.

4. Drafts, Feedback and Revisions

  1. Unless otherwise agreed, the quoted price includes two rounds of client feedback and revisions.
  2. Preliminary images, previews, drafts, test renderings and working files are provided for review only and are not final deliverables.
  3. Client feedback should be submitted in a consolidated and unambiguous form.
  4. Changes requested after approval of a project stage, changes to the underlying planning documents, additional variants and revisions beyond the agreed feedback rounds constitute additional services and will be charged separately at the applicable hourly rate or on the basis of a supplementary quotation.
  5. Renderkitchen will inform the client where reasonably possible before substantial additional costs are incurred.

5. Delivery and Acceptance

  1. Final visualizations and other deliverables are generally supplied digitally in the format and resolution agreed in the quotation.
  2. Once Renderkitchen has completed the agreed work, the client shall review the deliverables promptly.
  3. Minor deviations or defects that do not materially affect the agreed use of the work do not justify refusal of acceptance.
  4. If acceptance is required for the particular service, the statutory provisions on acceptance apply.

6. Fees and Additional Services

  1. The remuneration stated in the quotation applies to the agreed scope of services.
  2. All prices are net prices and are subject to statutory VAT where applicable.
  3. Services outside the agreed scope, including additional perspectives, design variants, planning changes, additional revision rounds or substantial alterations after approval, will be charged separately.
  4. Unless a separate price has been agreed, additional services are charged at Renderkitchen’s current hourly rate.
  5. Renderkitchen may request reasonable advance or interim payments for larger or longer-running projects where agreed in the quotation.

7. Payment

  1. Unless otherwise agreed, invoices are due for payment within 14 days of the invoice date without deduction.
  2. In the event of payment default, the statutory rules on default interest apply.
  3. In business-to-business transactions, the statutory default interest rate is currently nine percentage points above the applicable base interest rate. Renderkitchen may also claim the statutory €40 default lump sum where the legal requirements are met. Gesetze im Internet
  4. Rights of use granted under these Terms & Conditions become effective only after full payment of the respective invoice.

8. Cancellation and Project Interruption

  1. If the client terminates a commissioned project before completion, Renderkitchen is entitled to remuneration in accordance with the statutory provisions, taking into account work already performed, expenses incurred and any costs saved as a result of the cancellation.
  2. Renderkitchen may invoice completed project stages and services already rendered immediately.
  3. If a project is suspended or delayed for reasons attributable to the client, agreed delivery dates shall be adjusted accordingly. Additional costs resulting from the interruption may be charged where legally permissible.

9. Rights of Use

  1. Copyright and all other intellectual property rights in the work remain with the respective author or rights holder.
  2. Upon full payment, the client receives the rights of use necessary for the purpose specified in the quotation.
  3. Unless otherwise agreed, the rights granted are non-exclusive.
  4. Any use beyond the agreed purpose, including resale, licensing, transfer to unrelated third parties or use for substantially different projects, requires prior agreement with Renderkitchen.
  5. The client may provide final deliverables to project participants, marketing agencies, media partners and service providers insofar as this is necessary for the agreed project and marketing purpose.
  6. Editable source files, 3D models, scene files, material libraries, working files, intermediate renderings and other production data are not part of the deliverables unless expressly agreed.

10. Publication by Renderkitchen

  1. Unless confidentiality has been agreed, Renderkitchen may use completed work for its own portfolio, website, social media, presentations, award submissions and other self-promotional purposes after the project has been made public.
  2. If a project is subject to confidentiality or an embargo, the client shall inform Renderkitchen accordingly.
  3. Where requested and reasonable, Renderkitchen will respect an agreed publication date or confidentiality period.
  4. Where Renderkitchen publishes work, client or project information will only be identified to the extent appropriate and permitted.

11. Client Materials and Third-Party Rights

  1. The client warrants that it is entitled to provide Renderkitchen with the plans, photographs, models, logos, trademarks, reference materials and other content supplied for the project and that their agreed use does not infringe third-party rights.
  2. The client shall inform Renderkitchen of any restrictions on the use of supplied materials.
  3. Renderkitchen is not obliged to carry out a comprehensive legal review of rights in materials supplied by the client.

12. 3D Models and Production Files

  1. 3D models, scene files and other production files created by Renderkitchen remain part of Renderkitchen’s internal production assets unless their transfer is expressly included in the quotation.
  2. Delivery of final rendered images, animations or other final outputs does not include the transfer of underlying source files.
  3. If source files or 3D models are to be supplied to the client, the scope, format, rights of use and remuneration will be agreed separately.

13. Technical and Visual Deviations

  1. Visualizations represent a planned or interpreted future condition and are not photographs of the completed project.
  2. Colors, brightness, materials and contrast may appear differently depending on displays, printing processes, lighting conditions and output media.
  3. Renderkitchen therefore cannot guarantee exact color reproduction across all devices or printed outputs.
  4. Unless expressly commissioned as technically binding documentation, visualizations are intended for visual communication and marketing and do not replace architectural, technical or execution planning.

14. Defects

  1. The client shall notify Renderkitchen of any alleged defects without undue delay and describe them sufficiently for assessment.
  2. In the event of a justified defect, Renderkitchen shall first be given a reasonable opportunity to remedy the defect.
  3. Statutory rights relating to defects remain unaffected unless otherwise expressly and validly agreed.

15. Liability

  1. Renderkitchen shall be liable without limitation for intent and gross negligence and for damage resulting from injury to life, body or health.
  2. In cases of slight negligence, Renderkitchen shall only be liable for breach of an essential contractual obligation whose fulfilment is necessary for proper performance of the contract and on whose fulfilment the client may reasonably rely. In such cases, liability shall be limited to the foreseeable damage typical for the contract.
  3. The foregoing limitations shall apply correspondingly to Renderkitchen’s employees, representatives and agents.
  4. Liability under mandatory statutory provisions remains unaffected.

16. Confidentiality

  1. Renderkitchen will treat non-public project information supplied by the client confidentially where its confidential nature is apparent or has been expressly communicated.
  2. The parties may agree additional confidentiality requirements or an NDA where necessary.
  3. Statutory disclosure obligations remain unaffected.

17. Archiving

  1. Renderkitchen may retain project files after completion for internal archiving purposes but is not obliged to archive them for any particular period unless expressly agreed.
  2. The client is responsible for securely storing the final deliverables supplied to it.
  3. Renderkitchen accepts no obligation to recreate or restore project files after completion unless separately agreed.

18. Applicable Law and Jurisdiction

  1. The contractual relationship is governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
  2. Where legally permissible and both parties are merchants, legal entities under public law or special funds under public law, Berlin shall be the agreed place of jurisdiction.

19. Final Provisions

  1. Amendments and additions to individual project agreements should be made in text form.
  2. If an individual provision of these Terms & Conditions is or becomes invalid, the validity of the remaining provisions shall remain unaffected. The statutory provision shall apply in place of the invalid provision.
  3. Individual agreements between Renderkitchen and the client take precedence over these Terms & Conditions.
